Tournament Growth Hub Supplemental Terms

Preamble

These Tournament Growth Hub Supplemental Terms ("Supplemental Terms") govern your submission and use of the Tournament Growth Hub pay-for-performance marketing service (the "P4P Service") offered by Pickleball OpCo LLC ("Company," "we," or "us"). The P4P Service produces and sends email marketing campaigns to promote tournament events through the Pickleball OpCo LLC email infrastructure.

These Supplemental Terms incorporate by reference the Pickleball OpCo LLC Terms of Use located at https://pickleball.com/terms-of-use (the "Main Terms"). By submitting a campaign request through the P4P Service, you ("Club," "Customer," or "you") agree to be bound by both the Main Terms and these Supplemental Terms.

In the event of a conflict between the Main Terms and these Supplemental Terms with respect to the P4P Service, these Supplemental Terms control. For all matters not specifically addressed in these Supplemental Terms, the Main Terms apply.

Capitalized terms not defined in these Supplemental Terms have the meanings given to them in the Main Terms.

1. Definitions

1.1 "Campaign" means a request submitted through the P4P Service to produce and send one or more marketing emails promoting a specific tournament event.

1.2 "Net New Revenue" means tournament registration revenue received by your Club through PickleballTournaments.com that is attributable to your Campaign, less applicable refunds and payment processing fees.

1.3 "Tournament Start Date" means the official start date of the tournament being promoted by a Campaign, as listed on the tournament's PickleballTournaments.com page at the time of submission.

2. Campaign Timeline & Availability

2.1 Campaign requests require a minimum turnaround of five (5) to ten (10) business days from the date of submission. Requests with shorter timelines may not be accommodated and may be declined at our discretion.

2.2 The number of emails available for your Campaign depends on the time remaining until the Tournament Start Date at the time of submission:

  • 60 or more days: up to three (3) emails
  • 30 to 59 days: up to two (2) emails
  • 10 to 29 days: one (1) email
  • Fewer than 10 days: Campaign requests will not be accepted

2.3 Email send timing within an accepted Campaign is determined by us based on the timeline leading up to the Tournament Start Date. Not all Campaign options may be available depending on proximity to your tournament.

3. Campaign Content & Revisions

3.1 Each Campaign is limited to a maximum of three (3) emails. Additional email requests beyond the limit applicable to your timeline will not be fulfilled.

3.2 Email drafts may be made available to you for proofing and record purposes.

3.3 Revisions are limited to corrections of factual errors only, such as incorrect dates, broken links, or inaccurate event details. Drafts are not an opportunity to request editorial, stylistic, or copy changes. Editorial control over Campaign content is retained by us.

4. Revenue Share & Billing

4.1 We earn twenty percent (20%) of Net New Revenue generated from your Campaign. If your Campaign generates no Net New Revenue, no charge will be assessed. There are no setup fees, retainers, or other charges associated with the P4P Service beyond this revenue share.

4.2 Following Campaign completion and revenue reconciliation, we will issue an invoice for amounts owed under §4.1. Invoices will be attached to your Club's account on pickleball.com.

4.3 You will have an opportunity to review each invoice through your Club's pickleball.com account prior to the charge being processed.

4.4 By submitting a Campaign request, you authorize us to charge the credit card or other payment method on file with your Club's pickleball.com account for invoiced amounts owed under these Supplemental Terms. This authorization remains in effect until revoked by you in writing through your pickleball.com account, and applies to all invoices issued under the P4P Service.

4.5 If your Club does not have a valid payment method on file with pickleball.com at the time of invoice issuance, you agree to add a valid payment method or to settle the invoice through alternative means agreed in writing with us within thirty (30) days of invoice issuance.

4.6 Disputed invoice amounts must be raised in writing within fourteen (14) days of invoice issuance. Absent timely written dispute, invoiced amounts are deemed accepted and final.

5. Acceptance & Authority

5.1 By checking the "I agree to the Terms & Conditions" box and submitting a Campaign request, you represent that:

(a) you have authority to bind your Club to these Supplemental Terms and to the Main Terms; (b) the contact, tournament, and billing information provided in the submission is accurate and complete; and (c) you accept these Supplemental Terms in their entirety in addition to the Main Terms.

6. Cancellation

6.1 We may decline or cancel any Campaign request at our discretion, including without limitation for non-compliance with these Supplemental Terms or the Main Terms, technical infeasibility, or content concerns. If a Campaign is cancelled by us prior to the first email send, no charges will apply.

6.2 Once the first email of a Campaign has been sent, the Campaign cannot be cancelled by the Customer, and we are entitled to revenue share in accordance with §4.1 on any Net New Revenue generated through completion of the Campaign cycle.

7. No Performance Guarantee

7.1 We make no representations or warranties regarding specific revenue outcomes, open rates, click rates, registration counts, or other performance metrics from any Campaign. The P4P Service is provided on an "as is" basis, supplementing (and subject to) the disclaimers and limitations of liability set forth in the Main Terms.

8. Modifications to These Supplemental Terms

8.1 We may modify these Supplemental Terms at any time. Modified Supplemental Terms become effective for Campaign requests submitted on or after the effective date of the new version.

8.2 The version of these Supplemental Terms in effect at the time of your Campaign submission governs that Campaign through its completion, even if subsequent versions are released during the Campaign's lifecycle.

9. Relationship to Main Terms

9.1 These Supplemental Terms do not amend, waive, or modify any provision of the Main Terms except as expressly stated herein and only with respect to the P4P Service. All other terms, conditions, disclaimers, limitations of liability, dispute resolution and arbitration provisions, governing law, and other provisions of the Main Terms continue to apply in full force.
